These Terms & Conditions govern the use of the BlackBrick Media website and the services provided by BlackBrick Media ("BBM", "we", "us", or "our").
 

By accessing this website, submitting an enquiry, purchasing advertising, entering into an advertising agreement, or otherwise using BBM's services, you agree to be bound by these Terms & Conditions.
 

If you do not agree with these Terms & Conditions, you should not use this website or our services.
 

1. ABOUT BLACKBRICK MEDIA

BlackBrick Media provides advertising and information-display services to businesses and organisations. These services may include, but are not limited to:

  • Advertising on digital information screens;

  • Advertising within business parks and other commercial locations;

  • Digital advertising and promotional campaigns;

  • Display of business, promotional, informational and other approved content; and

  • Related advertising, media and promotional services.

The specific services provided to a client will be determined by the applicable quotation, proposal, order, agreement or other written confirmation issued by BBM.
 

2. USE OF THE WEBSITE

You may use this website for lawful purposes only.

You agree not to:

  • Use the website for any unlawful or fraudulent purpose;

  • Attempt to gain unauthorised access to the website or any associated systems;

  • Interfere with the operation or security of the website;

  • Upload or transmit malicious software, viruses or harmful material;

  • Copy, reproduce, modify or distribute website content without permission;

  • Use the website to infringe the rights of BBM or any third party; or

  • Provide information that is false, misleading, defamatory or unlawful.

BBM reserves the right to restrict or terminate access to the website where we reasonably believe that these Terms & Conditions have been breached.
 

3. ADVERTISING SERVICES

All advertising services are subject to availability and acceptance by BBM.

Submission of an enquiry, advertising material or booking request does not automatically constitute acceptance by BBM.

BBM reserves the right to:

  • Accept or decline advertising;

  • Determine whether advertising content is suitable for display;

  • Refuse content that does not comply with these Terms & Conditions or applicable law;

  • Determine the appropriate placement and scheduling of advertisements; and

  • Remove or suspend advertising where reasonably necessary.

Unless specifically agreed otherwise in writing, BBM does not guarantee a particular number of impressions, views, leads, sales, enquiries or other commercial results from an advertising campaign.

Advertising placement may be subject to operational requirements, screen availability, location requirements and technical limitations.
 

4. ADVERTISING CONTENT

The advertiser is responsible for ensuring that all advertising material supplied to BBM is accurate, lawful and suitable for publication.

By submitting content to BBM, the advertiser confirms that:

  • It has the necessary rights, licences and permissions to use the content;

  • The content does not infringe any copyright, trademark, intellectual property, privacy or other rights of any third party;

  • The content is not unlawful, misleading, fraudulent, defamatory or discriminatory;

  • Any claims made in the advertisement are accurate and capable of being substantiated where required by law; and

  • The advertisement complies with all applicable South African laws, regulations and advertising requirements.

BBM may request amendments to advertising content before publication.

BBM may refuse, suspend or remove advertising content that it considers inappropriate, unlawful, misleading, offensive, technically unsuitable or inconsistent with the interests of BBM, the advertising location or its audience.
 

5. CLIENT RESPONSIBILITY AND INDEMNITY

The advertiser remains responsible for the content and claims contained in its advertisement.

The advertiser agrees to indemnify and hold BBM harmless against claims, losses, damages, costs or expenses arising from or relating to:

  • The advertiser's content;

  • Alleged infringement of intellectual property rights;

  • Alleged misleading or unlawful advertising;

  • Claims made in the advertiser's advertisement;

  • The advertiser's products or services; or

  • Any breach by the advertiser of these Terms & Conditions.
     

This does not exclude any liability that cannot lawfully be excluded or limited under applicable South African law.
 

6. INTELLECTUAL PROPERTY

Unless otherwise stated, all content and materials appearing on the BBM website, including but not limited to:

  • The BBM name and branding;

  • Logos;

  • Graphics;

  • Designs;

  • Text;

  • Images;

  • Videos;

  • Website layouts; and

  • Other original materials

are owned by or licensed to BBM and are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, publish, sell, licence or commercially exploit BBM's intellectual property without prior written permission.

Advertisers retain ownership of their own advertising materials.

By providing advertising material to BBM, the advertiser grants BBM the necessary permission to reproduce, display and distribute that material for the purpose of providing the agreed advertising services.
 

7. QUOTATIONS AND PRICING

All quotations provided by BBM are subject to the terms stated in the applicable quotation.

Unless otherwise stated:

  • Quotations are valid for the period specified on the quotation;

  • Prices may be subject to change after the quotation validity period;

  • Services are subject to availability;

  • Additional services or changes requested after acceptance may incur additional charges; and

  • A quotation does not constitute a confirmed booking until accepted by BBM and any required payment or other agreed conditions have been fulfilled.

Where applicable, prices will be stated inclusive or exclusive of VAT as indicated on the relevant quotation.
 

8. PAYMENT

Payment terms will be specified in the applicable quotation, invoice or advertising agreement.

BBM reserves the right to suspend advertising services where an account is overdue.

Where advertising has been suspended due to non-payment, the advertiser remains liable for amounts already due and payable.

BBM may require payment in advance for certain advertising packages, campaigns or services.
 

9. CANCELLATIONS AND REFUNDS

Cancellation terms may vary depending on the advertising package or service purchased and will be specified in the applicable quotation or agreement where applicable.

Unless otherwise agreed in writing, cancellation does not automatically entitle the advertiser to a refund.

Where BBM has already incurred costs or commenced work in connection with a campaign, those costs may remain payable.

Nothing in these Terms & Conditions limits any rights that a consumer may have under applicable South African consumer protection legislation.
 

10. SCREEN AVAILABILITY AND SERVICE INTERRUPTIONS

BBM will make reasonable efforts to maintain the availability of its advertising displays and services.

However, BBM does not guarantee uninterrupted operation.

Advertising displays may occasionally be unavailable due to circumstances including:

  • Power failures;

  • Internet or network interruptions;

  • Hardware or software failures;

  • Maintenance;

  • Repairs;

  • Screen replacement;

  • Location-specific operational issues;

  • Third-party service interruptions;

  • Weather or other environmental conditions; or

  • Events outside BBM's reasonable control.

Where reasonably possible, BBM will take appropriate steps to restore affected services.

Unless specifically agreed otherwise in writing, temporary interruptions do not automatically constitute a breach of contract or entitle an advertiser to a refund.
 

11. THIRD-PARTY LOCATIONS

Some BBM advertising displays may be located at premises owned or operated by third parties.

BBM does not control the activities, operations, security, access or management of third-party premises.

BBM may be required to relocate, remove, suspend or alter a display due to circumstances relating to the relevant premises or third-party location.

Where this occurs, BBM will make reasonable efforts to provide an alternative arrangement where commercially and operationally feasible.
 

12. THIRD-PARTY WEBSITES AND SERVICES

The BBM website may contain links to third-party websites, platforms or services.

These links are provided for convenience only.

BBM does not control or necessarily endorse third-party websites or services and is not responsible for their content, availability, security, privacy practices or terms of use.

You access third-party websites and services at your own risk.
 

13. WEBSITE INFORMATION

BBM makes reasonable efforts to ensure that information displayed on this website is accurate and up to date.

However, information may occasionally contain errors, omissions or outdated information.

BBM reserves the right to amend, update or remove website content at any time without prior notice.

Information on this website should not be interpreted as a guarantee of any particular business, advertising or financial outcome.
 

14. LIMITATION OF LIABILITY

To the maximum extent permitted by South African law, BBM will not be liable for indirect, incidental, consequential or special loss arising from the use of the website or BBM's services, including loss of profits, revenue, business opportunities, goodwill or anticipated savings.

BBM's liability will, where legally permissible, be limited to the amount actually paid by the relevant client to BBM for the specific service giving rise to the claim.

Nothing in these Terms & Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.
 

15. PERSONAL INFORMATION

BBM may collect and process personal information when you interact with the website or use our services.

Personal information will be processed in accordance with applicable South African data protection legislation, including the Protection of Personal Information Act 4 of 2013 (POPIA).

16. CONFIDENTIALITY

Where BBM and a client exchange confidential commercial, technical or business information, both parties will take reasonable steps to protect that information from unauthorised disclosure.

This obligation does not apply to information that:

  • Is publicly available;

  • Was already lawfully known;

  • Is independently developed; or

  • Is required to be disclosed by law or a lawful authority.
     

17. FORCE MAJEURE

BBM will not be liable for failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control.

These circumstances may include, without limitation:

  • Natural disasters;

  • Fire;

  • Flood;

  • Severe weather;

  • Power failures;

  • Network or telecommunications failures;

  • Government action;

  • Civil unrest;

  • Labour disputes;

  • Acts of war or terrorism;

  • Epidemics or pandemics;

  • Supplier failures; or

  • Other events beyond BBM's reasonable control.
     

18. CHANGES TO THESE TERMS

BBM may amend these Terms & Conditions from time to time.

The updated version will be published on this website with the relevant effective or updated date.

Your continued use of the website or BBM services after the updated Terms & Conditions have been published constitutes acceptance of the updated terms, to the extent permitted by law.
 

19. GOVERNING LAW

These Terms & Conditions are governed by and interpreted in accordance with the laws of the Republic of South Africa.

Any dispute relating to these Terms & Conditions will be subject to the jurisdiction of the appropriate courts of South Africa, subject to any mandatory rights or dispute-resolution mechanisms applicable under South African law.
 

20. SEVERABILITY

If any provision of these Terms & Conditions is found to be invalid, unlawful or unenforceable, that provision will be severed to the extent necessary and the remaining provisions will continue to apply.
 

21. ENTIRE AGREEMENT

These Terms & Conditions, together with any applicable quotation, advertising agreement, order confirmation or other written agreement between BBM and a client, constitute the agreement governing the relevant services.

Where there is a conflict between these Terms & Conditions and a specific written agreement, the specific written agreement will take precedence to the extent of the conflict.
